第一章 总 则

Chapter 1: General Principle

第一条 依据《中华人民共和国公司法》(以下简称《公司法》)及有关法律、法规的规定，由_______方共同出资，设立____________公司(以下简称“公司”)，特制定本章程。

第五条 公司的组织形式为有限责任公司。公司股东的责任仅限于股东出资或许诺出资的公司注册资本。除非经股东明确书面同意，公司的债权人仅对公司的资产享有追索权，无权要求投资者就公司的债务、责任以及义务进行偿还。

Article 5. The form of organization of the Company shall be a limited liability company. The

liability of a shareholder of the Company shall be limited to the registered capital contributed by

or committed to be contributed by such shareholder to the Company. Unless otherwise specifically

agreed in writing by the shareholders, creditors of the Company shall only have recourse to the

assets of the Company, and shall not seek repayment from the shareholders of any debt, liability or

obligation of the Company.
